1. Service Agreement
1.1 Scope of Work
The services provided by Abel Software Service include but are not limited to:
- SEO (Search Engine Optimization)
- Social media marketing and management
- Content marketing
- PPC (Pay-Per-Click) campaigns
- E-commerce solutions
- Website maintenance and support
1.2 Client Obligations
The client agrees to provide all necessary information, content, and access required to complete the project. The client is responsible for ensuring that all content provided is accurate and does not infringe on any third-party rights.
1.3 Timeline & Deliverables
The timeline for the project will be discussed and agreed upon before the start of the project. Any delays in client feedback or provision of necessary materials may result in project delays. The company will strive to meet all deadlines but is not liable for unforeseen delays beyond its control.
2. Payment Terms
2.1 Pricing and Quotation
The pricing of services will be clearly outlined in the proposal or agreement, and any extra costs (e.g., third-party services or software) will be communicated separately.
2.2 Payment Methods
We accept payments through:
- Bank transfer (details will be provided in the invoice)
- Credit/Debit card
- PhonePe (UPI-based payments)
2.3 PhonePe Payment Terms
- If you choose to make payments via PhonePe, ensure you send the payment to the official UPI ID provided by Abel Software Service.
- Once payment is completed through PhonePe, a confirmation will be sent to the client, and the service or project will proceed accordingly.
- Refunds (if applicable) will be processed back to the same UPI account used for the payment.
- Abel Software Service is not responsible for any technical issues arising from the PhonePe platform, such as failed transactions or delays. Clients must ensure that the transaction is successfully completed.
2.4 Payment Schedule
- A deposit of 50% is required before the commencement of any project.
- The remaining balance is payable upon project completion or in agreed milestones.
- For ongoing services like digital marketing retainers, payments will be due monthly, in advance.
2.5 Late Payments
Late payments beyond the due date will incur a penalty of 2% per month. Abel Software Service reserves the right to suspend or terminate services until all outstanding payments are received.
3. Revisions & Changes
3.1 Project Revisions
We offer up to two rounds of revisions during the development or marketing campaign. Any additional revisions will be charged separately. Changes outside the original scope of work will be treated as new projects or tasks, and will incur additional fees.
3.2 Change Requests
Any major changes in the scope or strategy of a project must be requested in writing. Changes in strategy may result in adjustments to the project timeline and pricing.
4. Intellectual Property
4.1 Ownership of Work
Upon full payment, ownership of the website, content, or marketing materials developed by Abel Software Service will transfer to the client. However, the Company reserves the right to showcase the project in its portfolio unless the client explicitly requests otherwise.
4.2 Third-Party Software & Plugins
Any third-party software, plugins, or services used in the development or marketing process are governed by their own licensing terms. Abel Software Service does not claim ownership over these and will provide the client with necessary licenses, where applicable.
5. Confidentiality
Both parties agree to maintain confidentiality of proprietary information, including trade secrets, intellectual property, or other business-related information that is not publicly available. This clause remains in effect even after the termination of services.
6. Warranties and Liabilities
6.1 No Guarantee of Results
While Abel Software Service will employ best practices in all digital marketing and development efforts, we cannot guarantee specific results, such as search engine rankings, website traffic, or sales increases.
6.2 Limitation of Liability
In no event will Abel Software Service be held liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including, but not limited to, loss of profits or data. Our total liability shall be limited to the amount paid for the services in question.
7. Termination
7.1 Termination by Client
The client may terminate the service agreement at any time by providing 30 days’ written notice. Payments for work completed up to the termination date will be due and payable.
7.2 Termination by Company
We reserve the right to terminate the agreement without notice if the client breaches any of these terms or engages in any activities that are illegal or harmful to the Company’s reputation.
8. Governing Law
These terms and conditions are governed by the laws of India. Any disputes arising from or relating to this agreement shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat.
9. Amendments
Abel Software Service reserves the right to amend these terms and conditions at any time. Any changes will be posted on our website and will take effect upon posting. Clients will be notified of significant changes.
